1. Acceptance of Terms

By accessing or using the AI Call Management platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a business or other entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Services

AI Call Management provides an AI-powered call management and reservation platform for businesses. Our Service includes:

  • AI Voice Assistant: An intelligent voice agent that answers incoming calls, provides business information, and handles reservation requests on behalf of your business.
  • Reservation Management: A comprehensive system for creating, managing, and tracking reservations, including calendar views, resource management, and availability controls.
  • Web Booking: A public-facing booking page that allows customers to make reservations online.
  • SMS Notifications: Automated text messages for reservation confirmations, reminders, updates, and cancellations.
  • Dashboard: A web-based management interface for business owners to configure settings, view analytics, and manage their account.
  • Owner Voice Management: A voice-based management interface allowing business owners to manage their business via phone.

3. Account Registration & Security

To use the Service, you must create an account and provide accurate, complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials (password, API tokens, business tokens)
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account
  • Keeping your account information up to date

We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or remain inactive for an extended period.

4. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Send unsolicited or unauthorized communications (spam) through our SMS or voice systems
  • Interfere with or disrupt the Service, servers, or networks
  • Attempt to gain unauthorized access to any part of the Service or its related systems
  • Use the Service for any fraudulent, deceptive, or misleading purpose
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated tools (bots, scrapers) to access the Service without our written permission
  • Exceed the usage limits of your subscription plan through artificial or abusive means

We reserve the right to investigate and take appropriate action against anyone who violates this policy, including suspending or terminating their account.

5. Reservation & Booking Services

5.1 Business Responsibilities

As a business using our reservation system, you are responsible for:

  • Maintaining accurate business information (hours, address, capacity)
  • Configuring resources, availability, and blackout dates appropriately
  • Honoring reservations made through the platform
  • Managing customer expectations and communications

5.2 Customer Reservations

Reservations made through our platform (via AI phone agent or web booking) are subject to the business's availability and policies. We facilitate the reservation process but do not guarantee the availability of any specific time slot, resource, or service. The contractual relationship for the reservation is between the business and the customer.

5.3 Cancellations & Modifications

Reservation cancellations and modifications are subject to each business's individual policies. Our platform provides the tools for managing these changes, but individual business policies govern the terms.

6. SMS & Communication Services

6.1 Consent to Receive Messages

By using the Service to manage reservations, you acknowledge that SMS messages will be sent to customers who provide their phone numbers during the booking process. These messages are transactional and directly related to the reservation service requested.

6.2 Message Types

Our platform sends the following types of SMS messages:

  • Reservation confirmations with booking details and confirmation codes
  • Reservation reminders before the scheduled date/time
  • Updates when reservations are modified
  • Cancellation notifications

6.3 Opt-Out

Recipients may opt out of SMS messages at any time by replying STOP to any message. Standard message and data rates may apply. Message frequency varies based on reservation activity.

6.4 Your Obligations

You agree not to use our SMS capabilities for marketing, promotional, or any purpose unrelated to reservation management. Misuse of SMS features may result in immediate account suspension.

7. Voice & AI Services

7.1 AI-Powered Calls

Our Service uses artificial intelligence to handle incoming phone calls on behalf of your business. The AI voice assistant can answer questions, provide business information, and manage reservations. You acknowledge that:

  • The AI assistant represents your business to callers and acts based on the information and instructions you provide
  • AI responses are generated in real-time and may occasionally produce unexpected or imperfect results
  • You are responsible for ensuring the accuracy of the business information the AI uses

7.2 Call Processing

Calls are processed through our telephony infrastructure and AI language model providers. Call metadata (duration, timestamps, phone numbers) is logged for analytics and service improvement. By using the Service, you consent to this processing.

7.3 Limitations

The AI voice assistant is designed for reservation management and general business inquiries. It is not intended for emergency services, medical advice, legal counsel, or any situation requiring human judgment for safety-critical decisions.

8. Payment & Billing

8.1 Subscription Plans

The Service is offered under various subscription tiers with different feature sets and usage limits. Plan details, pricing, and included features are displayed on our pricing page and may be updated from time to time.

8.2 Payment Processing

All payments are processed securely through our third-party payment processor. By subscribing to a paid plan, you agree to our payment processor's terms of service. You authorize us to charge your selected payment method for recurring subscription fees.

8.3 Usage Limits

Each plan includes specific usage limits (e.g., number of calls, minutes). If you exceed your plan's limits:

  • If overage billing is enabled on your plan, additional usage will be billed at the applicable overage rates.
  • If overage billing is not available on your plan, the Service may limit functionality until the next billing period or until you upgrade your plan.

8.4 Refunds

Subscription fees are generally non-refundable. If you believe you are entitled to a refund due to a service issue, please contact us and we will review your request on a case-by-case basis.

9. Intellectual Property

The Service, including its software, design, text, graphics, logos, and all related intellectual property, is owned by AI Call Management and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

You may not copy, modify, distribute, sell, or create derivative works based on the Service or any part thereof without our prior written consent.

10. Privacy & Data Protection

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the data practices described in our Privacy Policy.

As a business using our platform, you are responsible for ensuring that your use of the Service complies with applicable data protection laws in your jurisdiction, including obtaining appropriate consent from your customers for data collection and processing through our platform.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free
  • The AI voice assistant will always produce accurate or appropriate responses
  • The results obtained from using the Service will meet your requirements
  • Any errors in the Service will be corrected

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI CALL MANAGEMENT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless AI Call Management and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or third-party rights
  • The information or content you provide through the Service
  • Any interaction between your business and its customers facilitated through the Service

14. Termination

14.1 By You

You may stop using the Service and close your account at any time by contacting us. Cancellation of a paid subscription will take effect at the end of the current billing period.

14.2 By Us

We may suspend or terminate your access to the Service at any time, with or without notice, for reasons including but not limited to:

  • Violation of these Terms or the Acceptable Use Policy
  • Non-payment of subscription fees
  • Fraudulent or illegal activity
  • Extended period of inactivity
  • At our sole discretion, if we determine that your continued use poses a risk to the Service or other users

14.3 Effect of Termination

Upon termination, your right to use the Service will cease immediately. We may retain your data for a limited period as described in our Privacy Policy. Sections of these Terms that by their nature should survive termination will remain in effect, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and indemnification.

15. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which AI Call Management is incorporated, without regard to conflict of law principles.

Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue resolution through binding arbitration or in the courts of the applicable jurisdiction.

16. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

  • Update the "Last Updated" date at the top of this page
  • Notify registered users via email for significant changes
  • Provide at least 30 days' notice before material changes take effect

Your continued use of the Service after the updated Terms take effect constitutes acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service.
